浮动抵押刍议

浮动抵押的融资功能是不容忽视的,尤其是在担保公司债券的发行方面,已为发达国家的立法或判例所承认.但在浮动抵押中,由于抵押物的不确定性,所以与大陆法系的抵押权制度存在重大差别,从而增加了在大陆法系适用相关规定的难度.为正确理解和适用我国《物权法》中有关浮动抵押的规定,应在结合国情的基础上与国际接轨,规定相应的配套制度,明确浮动抵押的适用范围,以及与固定抵押的关系.

On Floating Charge

Because of the uncertainty of pledges,there are striking dissimilarities between the floating charge and the system of hypothecation in civil law countries.Thereby,the floating charge shouldn't be prescribed inconsiderately in the real property law.However,the floating charge plays a significant role in financing field,especially in warranty of issuing bond,thus,the floating charge is granted in legislation or prejudication of developed countries.This paper claims that the situation of our country and international situation must be considered during the enaction of the floating charge.In order to build the system of modern corporation,The floating charge should be prescribed in the Company Law,and the area of application should be limited.
