论我国独立董事制度的构建

独立董事是英美国家公司治理模式的特色制度,有利于制衡控股股东或内部人的控制权,可引入我国公司权力机构体制。本文论述了移植独立董事制度的前提条件和意义,并就该制度体系中的资格、任免、职权、义务和薪酬等事项提出了设想,以建构我国独立董事制度大体框架。

The Establishment of the System of Independent Director in China

Independent Director is a special system of Anglo-American type of corporation administration,which is beneficial to restrict proprietary stockholders and abuse the controlling power of the internal person.It can be introduced to the system of the organizational structure of company power in our country.This article discussed the presupposition and the significance to transplant the system of independent director and put forward the tentative plan about the qualification, appoint and dismiss,function and power,duty and salary and so on of the system to establish the roughly frame of the system of independent director in our country.
