| 摘 要： | 公司法人人格否认制度的确立可以有效的控制股东的投资风险,保证交易安全,保护公司债权人利益和社会公共利益,维护经济秩序,促进社会主义市场经济健康发展,但公司法对该制度适用的情形没有具体的规定,造成实践中可操作性差。文章分析了该制度适用的情形,并提出了完善相关立法的建议。

| Abstract: | The system of disregard of corporate personality will control stockholder's investment risk effectively,ensure the safeguard of trade,protect creditors and social public's interests,maintain the regulation of economy,and promote socialist marcket economy.While the lack of special applicability in the company law lead to bad operation in practice.The article analyses the applicability of this system and puts forward the legislative suggestions. |
