完善我国上市公司独立董事制度建设的思考

目前 ,我国上市公司独立董事制度建设无论在立法上还是实践上都刚刚起步 ,对独立董事的界定、制度建设及建设过程中须解决的问题等都应予以充分关注。为加强和完善该项制度建设 ,除加快有关独立董事制度的立法工作 ,明确独立董事的职能范围及相应的法律责任 ,制定具体规则外 ,还应建立有效的独立董事自律组织 ,同时完善相关的外部监督机制 ,从而实现公司治理结构的合理化。

At present, the construction of independent director system of listed companies in China has just started both in legislation and in practice. Full attention should be paid to the definition of independent directors, system construction, and the problems to be settled in the process of construction. In order to strengthen and perfect the construction of the system, in addition to quickening the work of legislation about independent directors, clarifying the scope of independent directors' functions and power and their corresponding legal responsibilities, and making concrete rules, effective self-disciplined organizations of independent directors should be established, and relevant external supervision institute be perfected to make the administrating structure of companies reasonable.
