| 摘 要： | 我国《公司法》专章规定了有限责任公司股权转让制度,包括股权内部转让自由、股权外部转让受限、股权转让的记载与登记、股权的强制执行、股权回购、股权继承六项制度,标志着我国有限责任公司股权转让制度的基本完善。但该制度仍存在一定不足,应从瑕疵出资股权的转让、转让部分权能的股权转让、侵犯股东优先认购权的股权转让、非协议转让股权等几方面进行完善。
