| 摘 要： | 本文以中国现行《公司法》与美国 1 996年《统一有限责任公司法》为主要对照蓝本 ,围绕公司设立制度、资本制度、治理制度、分配制度、解散制度五个大的方面 ,就中美两国的有限责任公司制度进行了集中比较 ,其中可以看出两国有限责任公司制度上的相同之处 ,更可以领略两国有限责任公司制度上的差异所在。
