| 摘 要： | 目前 ,债转股已成为大中型国有企业改革的重要途径之一 ,虽已执行多年 ,但仍存在诸如债权出资、金融资产管理公司的动作模式等若干尚待解决的法律问题。金融资产管理公司要加强规范动作而不至于陷入泥潭 ,其关键是要调整公司治理结构 ,激发企业活力 ,完善外部市场条件 ,早日实现国企改革的目标
