| 摘 要： | 本文通过对有限责任制度的反思，指出根据市场经济国家的有关立法、判例、学说，结合我国的实际，对有限责任的一般适用条件作出明确规定的时机业已成熟，对有限责任的例外情形的规范在立法上则应谨慎，宜采概括式。
