| 摘 要： | 隐名合伙是在出名营业人与隐名合伙人之间发生的一种内部合同关系,与借贷合同、委托合同、租赁合同、雇用合同存在不同的制度价值和技术设计。它是公民投资和中小企业直接融资不可替代的重要法律形式,也是对现代企业制度的一种必要的、有益的补充。我国应当对隐名合伙这种成熟的投资经营模式予以明确承认和保护。

| Abstract: | The dormant partnership is a kind of bilateral contract between the dormant part and the known part.There are lots of differences between dormant partnership and the contract of loan,trust,rent,and employ.It is an important legal system for citizen investment ,middle and small-sized enterprises direct finance,and an essential,benefficial supplement to modern enterprises system.Dormant partnership ,as a kind of ripe investment mode,should be admitted and protected by Chinese law. |
