受托人的忠实义务与善管义务

在信托中，忠实义务和善管义务属于受托人的重要义务，并被各国信托立法和理论研究视为重要的制度安排。它们作为基础性、原则性的抽象义务，各自具有不同的特质。忠实义务与善管义务在实体内容上存在彼此相似的地方，在适用程序时应将二者结合起来，综合考量，一并运用。但就忠实义务与善管义务之间的关系而言，善管义务应是建立在忠实义务的基础之上。

Trustee's Duties of Loyalty and Care

In the fiduciary affairs, both of faithful obligation and law-abiding supervisory obligation belong to an essential obligation of fiduciary, which are regarded as an important institutional arrangement by the fiduciary legislation and theoretic study in every country. As the fundamental and principled abstract obligation, each of them has its different characteristic. Faithful obligation and law-abiding supervisory obligation have the similarities in the objective content. In the process of application, both of them should be combined, considered comprehensively and applied all together. As for their relationship, however, law-abiding supervisory obligation is established upon the faithful obligation persuasion.
