| 摘 要： | 一人公司系指股东仅为一人,并由该股东持有公司的全部出资或所有股份的有限公司(包括有限责任公司和股份有限公司)。一人公司的产生并非偶然现象,而是有着深厚的现实基础。在我国,国家的宏观经济政策为实行一人公司制度提供了政策支持;市场经济的发展为一人公司制度提供了物质基础;投资者的理性选择是建立一人公司制度的主观要求。所以,一人公司制度在我国具有可行性。

| Abstract: | The one man company refers to a limited company whose capital or shares are wholely owned by one shareholder.It is not by chance for one-man company to come into being,but with profound basis of reality.In China the macroscopical policy of the country provides support for the legal institution of such kind of company;the development of the market economy provides the material basis for the institution;and the rational choice by investors expresses the subjective demand for the institution for one-man company;and so on.Since it is feasible for the institution of one-man company to establish in our country. |
