| 摘 要： | 随着我国企业并购的迅猛发展 ,企业并购暴露出许多问题 ,这些矛盾和问题迫切需要法律来调整和解决 ,但是 ,我国相应的并购法律和法规尚在起步之中 ,存在许多漏洞和缺陷。因此 ,健全和完善中国的并购法律体系 ,使企业并购规范化、法律化已刻不容缓。
