关于完善我国独立董事制度的探讨

独立董事制度是美、英等金融资本市场较发达国家对上市公司进行公司治理所采用的一种制度。独立董事对完善上市公司治理结构,保护和均衡公司各利益相关者的合法利益,特别是广大中小投资者的利益等方面发挥着越来越重要的作用。文章通过剖析独立董事制度在我国适用的现状,在检讨实践中存在的问题的基础上,提出了完善我国独立董事制度的见解。

The independent director system is the system used to administrate listed companies by the United States and Britain, etc. whose finance capital markets are highly developed. The independent director system plays more and more important role in perfecting the administrative structure of listed companies and protecting and balancing the legitimate interests of beneficial owners, especially the interests of middle and small investors. Through the analysis of the present situations of our country's independent director system and on the basis of self-criticizing the existing problems in practice, this article advances the opinions of perfecting our country's independent director system.
