BJR（Business Judgment Rule）与我国新公司法

对我国公司法而言,BJR就是指公司的董事、监事、高级管理人员在其职权范围内为了公司最佳利益并认真履行了知悉义务后做出了不涉及个人私利的商业上的判断,这样的判断受到法律的保护,在出现损害后果时也不追究决策者的个人责任。随着我国市场经济的发展和公司法制的完善,BJR在我国有引进的需要和适用的前景,从地方法院的判决中也可以看出司法实践需要BJR的指导。在构建了中国式BJR的定义、构成要件和具体适用程序之后,建议从国情出发由最高人民法院在司法解释中对BJR的内容和适用程序做出规定,并拟定了详尽可行的参考内容。

To our Corporation Act,BJR means that directors?monitors and officers make decisions function in good faith and in a manner they reasonably believes to be in the best interests of the corporation,and these decisions have no self interests involved,the decision-makers will be free of personal liability even if these decisions turned out to be disastrously.With the development of Chinese market economy and the revise of our corporation laws,now we have the necessity to make reference to the ideas in Business Judgment Rule and this also can be found from the cases of local courts.First it makes the statutory definition of Chinese BJR and its applicable objects,the application premises.Then,it suggests the supreme court of China pass a judicial explanation to make the regulation of BJR,and drafts the exhaustive and feasible reference content.
