自公司出现以来 ,公司资本制度的构建便一直成为西方国家公司立法的核心内容。尽管各国公司资本制度的设计可能有所不同 ,但都尽可能地在“安全”、“效率”、“公平”之间寻求最佳平衡点。目前我国公司资本制度是一种独特的公司资本制度 ,尽管这种公司资本制度具有产生的客观原因 ,但却不甚科学、合理 ,存在着明显的滞后性。为此 ,我们对其全面反思 ,以使我国公司资本制度设计更能顺应时代发展的要求

Tentative Discussion on Corporate Capital System

Since the emergence of corporation, the formation of its capital system is always the core content of the corporative legislation in western countries. Although the design of corporation capital system maybe different in each country, they all try to seek the best equilibrium point between safety, benefit and fair as much as they can. Present corporation capital system in our country is a distinctive one, although the emergence of this corporation capital system has objective reasons, it is not scientific, rational and it is obviously lagging. Therefore, we rethink it comprehensively in order that design of corporation capital system in our country can be more suitable for the requirement of the development of the ages.
