| 摘 要： | 发起人与股东并非同一概念，发起人与股东有不同的权利、义务和责任，两者也具有不同的地位和作用。建议修改我国《公司法》时将有限责任公司发起人与股东分别作出明确规定，并对各类公司的发起人的地位、权利、义务和责任（特别是资本充实责任）等作出明确规定
