浅析新公司法之亮点

随着我国经济体制改革和市场经济体制的日趋完善,原有《公司法》已不适应社会发展需要。2005年10月27日,十届全国人大常委会第十八次会议对原有《公司法》进行了大面积的修定,确立了一人有限责任公司制度;降低了公司设立门槛;加强了对中小股东权益的保护;取消了公司对外投资的限制;规定了股东代位诉讼制度等。

On the Highlights of the New Company Law

With our economy system reform and the gradual perfection of market economy system,the old Company Law is not suitable to the social development.On October 27th,2006,the 18th session of the 10th National People's Congress revised widely the old one and set a one-person liability limited company system.It also lowers the requirement of establishing a new company,enhances the protection to the small and medium stock-holders,eliminates the ristriction to investing abroad,and sets the systems of independent board of directors and stock-holders substitution litigation.
