公司法人人格否认制度特殊适用问题研究

我国法学界就公司法人人格否认制度对公司董事的特殊适用,在人民法院执行程序中的特殊适用,在公司破产清算中的特殊适用,如对跨国公司破产时的适用,我国怎样确立企业经营者特别是国有企业经营者对企业破产所应承担的个人责任,公司清算中的欺诈性交易追究责任制度以及深石原则在公司破产中的适用等法律问题研究较少,而司法实践中却已有较多运用,故有必要对此进行专门的探讨。

A Research on Special Application of the Denial System of Corporation's Personality

This paper discusses that our legal circle hasn't made enough research on some legal issues as follows: how to apply the denial system of corporation's personality to corporation directors, the executive procedure of people's courts, bankruptcy and liquidation of a corporation, and bankruptcy of a multinational corporation; how to establish the individual responsibility system of enterprise operators, especially the operators of state-owed enterprises in the bankruptcy or liquidation of the enterprise and the application of Deep Rock Doctrine in the bankruptcy,etc. However, the denial system of corporation's personality has widely used in practice, so it is necessary to make a special probe into it.
