| 摘 要： | 经济学上的经济人假设与法律上的谨慎人有异曲同工之妙,《公司法》作为规范经济人创业的法律,必须以效率为原则,对此法学与经济学的认识是一致的。《公司法》经济学分析是用经济学的理论与工具研究公司法律问题,具有经济推理的性质。因此,许多经济学术语都成了对《公司法》进行分析的方法。

| Abstract: | The hypothesis of economic man in economics is like prudent man in law.Company law as a law regulating the business of economic man must have efficiency as the principle which economics and the science of law agree to follow.An economic analysis of company law uses the theory and instruments of economics to study the company's legal problems with the nature of economic inference.Thus, many economic terms are used in the analysis of company law. |
