证券内幕交易的犯罪构成

内幕交易是我国证券市场难以根除的顽疾。尽管十多年来,证券监管机构和司法机关先后处理了许多证券违法违规乃至犯罪的案件,但其中以“内幕交易案”来认定的则少之又少,即使被查获,也只能以行政处分了事,内幕交易依然肆虐横行;而形成现时这种局面的一个重要原因是缺乏对内幕交易犯罪中一些基本问题的充分认识所致。为了更好地贯彻实施《证券法》、《刑法》,有效地打击内幕交易犯罪,结合有关法律法规和当今学术界的流行学说,对内幕交易的概念及内幕交易犯罪所侵犯客体、内幕信息的含义和范围、内幕人员的含义和范围、犯罪的主观方面和的客观方面进行分析探讨。

Constitutive Elements of Securities Insider Dealing Crime

Insider dealing can be described as the chronic disease in China's securities market. Despite the great effect from the securities regulatory commission and other judicial departments in recent 10 years, only small amount of cases in China has been accepted as "insider dealing case", even these cases have been issued, most of the final solution can be expected as just administrative penalty, insider dealing is still rampant in this country, and one of the important reasons that leads to this serious circumstance is the inadequate knowledge of the mains issues of insider dealing crime. In order to implement the Securities Law, Criminal Law and fight with insider dealing more effectively, combined with the relative laws, regulations and current academic theories, intends to analyze and discuss the definition of insider dealing, the definition and scope of insider information and insiders; the object and subject of insider dealing crime; the subject elements and objective elements of insider dealing crime.
