| 摘 要： | 公司僵局形成的深层原因是“股份多数决”原则和“股东不得抽回出资”原则。由于公司僵局对公司、股东的利益都构成严重的损害,我国现行《公司法》设计了事后救济途径。但最好的方式还是通过股东的事前救济途径,即积极借助公司章程来预防僵局的形成。
