Governance Rules on Stock Companies Drafted by Hermann Roesller and the Following Development

The first Company Law（Draft） of Japan was accomplished under the help of the German scholar Hermann Roesller.Review on its historic background and general provisions on stock companies in the Draft,particularly on the formation of governance organs,that is,the evolution of board of directors,board of supervisors and shareholders＇ meeting,can well demonstrate the development process of corporate governance of stock companies in Japanese company law.Moreover,it will facilitate understanding of the rationality of modern corporate governance as well as the current institutional predicament.
