我国公司法人治理结构的现状分析与完善构想

我国公司法人治理结构的法律规制基本上反映了公司内部机构之间分权制衡的关系,对公司的外部环境及其机构的制衡产生了一定的影响力,但仍存在许多缺陷。如在国有企业改制过程中原有的行政管理部门放权不够;董事会运作不规范;内外监督不力等。完善我国公司法人治理结构应使国有股权法人化;完善上市公司的独立董事制度;保护中小股东的合法权益;完善共同治理机制及内外监督制度。
