公司人格理念及其在我国继受之困境分析

公司人格在产生过程中借助了西方社会独有的宗教、经济以及政治国家的力量,中国社会由于没有西方式的各种因素的助力,相反还存在公司人格成就的阻碍因素,因此,虽然移植了有关公司的诸多制度,但在公司人格的认识方面,我们依然只停留在"中体西用"的层面之上,有必要在目前的法学理论与实践中对公司人格从理念上进行建构。

The Notion of Personality of the Corporation and the Dilemma of Its Acceptance in China

In western society, personality of corporation rooted from its unique background of religion, economic and political states. In China, on the contrary, there is no such factor for supporting, and obstacles exist in the formation of personality of corporation. Therefore, although many systems of corporation are transplanted, the idea of personality of corporation's personality are not well recognized, and it is necessary to construction such notion in theory and practice of corporation law.
