| 摘 要： | 《国际商事合同通则2010》是国际贸易全球化的应然产物，其在国际商事争端解决中的司法功能愈加凸显。《通则》于司法实践中不仅可以经当事人的选择成为国际商事合同的准据法，而且可以经由法庭的裁量充当国际商事合同的准据法。中国也已有一些与此相关的司法案例，学界以往一直对《通则》能否作为合同准据法适用存有质疑。2013年施行的《最高人民法院关于适用（中华人民共和国涉外民事关系法律适用法）若干问题解释（一）》加剧了这种质疑。

| Abstract: | The UNIDROIT Principles of International Commercial Contracts 2010 （UPICC） is a natural out-come from globalization of international trade which has played an outstanding role in dealing with disputes of international commercial contract. In judicial process UPICC has been chosen to become applicable law of international commercial contract not only by contract parties, but also by tribunal court for its duty. China has some cases involving usage of UPICC as international contract applicable law, but jurisprudential circle always has different views. The argument is intensified with the implementation of Interpretation of the Supreme People＇ s Court about Several Issues（I） in 2013 on the Law of Law Application for Foreign Related Civil Relations in the People＇ s Republic of China. |
