摘    要:契约严守原则是合同领域的基础性原则,但由于商品房预售合同的标的是现实不存在或尚不完全存在的,从预售合同成立到合同全部履行有一个较长的周期,国家法律政策的重大调整、国际市场需求的变化、价格的起伏等可能导致商品房市场价格的异常变动或合同不能按约履行,而需要适用情势变更原则.但实践中情势变更与商业风险往往难以区分,需要分析情势变更的适用条件,对情势变更做出界定.

Abstract:Practa stunt servanda is the basic priciple of contract law.But the subject of apartmen forward selling contract is not exist at all or partly exist, and there is a long period from the beginning to the end of the contract.In this time,the grand adjustment of laws and policies,great changement of international market's demands,great rise and decline in price and so on may result in the singularly change of the apartment's price.Then,Situation Alteration Principle must be used.But it is hardly to distinguish situation alteration and commercial risk,so we need to analyse the conditon to use situation alteration principle,and to define the situation alteration.
