民营企业家族式经营的法律规制

2004年宪法修正案将私有财产保护写入宪法,进一步明确私有财产的法律地位,使得法学界探讨民营企业存在的法律问题更具理论和现实意义。本文从列举民营企业家族式经营的现状入手,深入剖析了民营企业家族式经营的基础和缺陷,并在此基础上设计了对民营企业家族式经营进行法律规制的初步框架,并构筑以《公司法》为核心的规范体系。

:In 2004,it is very important that the substance of private property protection have been absorbed in the Amendment of Constitution,which took a step further explicating the status of private property.According to this striking change,we should go deep into studying the non-state run enterprise problem.The author analyses the family management of non-state run enterprise thoroughly,brings out the initial statute-circle of the family management of non-state run enterprise and also suggests that we should build the statute system with the core of the corporation law.
