| 摘 要： | 《公司法》中确立了有限责任公司与股份有限公司两种公司法律形态,这一划分方式忽略了股份有限公司的内部差异,导致股份有限公司中的封闭公司处境尴尬,既不利于这一部分公司股东权益的保护,也不利于公司法的革新.因此,应以封闭性与公开性为标准重构公司法律形态,并以此为基础推动公司法的现代化改革.

| Abstract: | The company law establishes limited liability company and joint stock limited company as legal organization forms in our country, but this classification ignores the internal differences of joint stock limited company, leaving the closed company in an embarrassing situation. It is not conducive to the protection of shareholders＇ interests and the reform of company law. Therefore, it is advisable to make the closure and publicity as the standard of reconstruction company legal forms, and promote the modernization of company law on this basis. |
