| 摘 要： | 商事关系是由至少一方是具有商人资格的商主体参与的法律关系,其目的是规范并促进商人的商事交易。商人的特性决定了商事关系的本质是一种关系,而非权利;其内容应以义务和责任为主来建构,而非普通民事关系那样以权利为核心。在我国社会主义市场经济不断深入发展的今天,以关系论和义务、责任来建构商事关系,有利于塑造负责任的商主体,促进社会关系的和谐。

| Abstract: | Commercial legal relationship is a relation that only one part is commercial subject,which is to nor- malize and improve trade. Its essence is relationship, not right, and its content is mostly duty and obligation, not right as common civil legal relationship. Today in China, it is important to construct commercial legal relation- ship by duty and obligation, for it will help to build obligated commercial subject, and improve harmony of the society. |
