公司债券持有人利益法律保护研究

债券持有人作为一种特殊的债权人,因信息不对称、契约不完备、公司的有限责任制度等内生的经济特征决定了其弱势地位,因此,通过立法对债券持有人利益进行保护是维护稳定社会关系的必然要求.本文吸收了相关学者的研究成果,阐述了债券持有人内在的法律特征,结合我国债券市场发展的现状和存在的问题,提出了我国债券市场上债券持有人利益保护机制的立法建议.

Research on the Legal Protection of the Interests of Bondholders

The bondholders as a special creditors,because of the economic characteristics of asymmetric information,incomplete con- tract,the company＇s limited liability system is determined by its weak position,therefore,through legislation to protect the interests of the bondholders to maintain the stability of social relations is the necessary, requirement of.In this paper,the research achievements of other scholars,the bondholders legal intrinsic characteristics,combined with the present situation of the development of China＇s bond market and the existing problems,and puts forward legislative suggestions mechanism to protect the interests of bond holders of bonds market in China.
