2005年《公司法》修订简评

2005年公司法修订的成功之处主要表现在放松政府管制、增强企业自治空间、完善公司治理结构、加强内外监督机制以及加大对股东和债权人保护力度等方面,但也存在着一些条文过于粗疏,不宜操作,某些制度的实施缺乏配套规则等不足。

Brief Review of the Revised 2005 PRC Company Law

Revised in 2005, the new edition of RPC Company Law is successful in such aspects as deregulation, expansion of enterprise autonomy, improvement of corporate governance, enhancement of both inside and outside supervision, the protection of the rights of shareholders and creditors, etc. However, there are, in the author's opinion, some failures in it, for example, some clauses are so roughly made that it is difficult for us to put them into effect and the implementation of some systems lack necessary rules.
