| 摘 要： | 公司章程之所以能够成为公司的宪章,根本在于公司章程具有独特的功能。从公司内部构造的角度看,公司章程是公司成立及独立人格的基石,是股东自治的基础,是公司管理者的行动指南;从公司的外部关系看,公司章程能够保障公司内外部参与人的权益,促进公司内部人员以及国家与公司的衔接,保障公司组织与公司法律的和谐并促进公司法律制度创新。随着公司法律的变革,公司章程的功能也随之变化,公司章程逐步演化成为公司治理的宪章。
