| 摘 要： | 在以资本制度为核心构建的公司治理结构中,劳动者民主参与的共生性似乎缺乏合理的基础.德国的共同决定制所演绎的产业民主诠释着劳动者参与是影响公司治理样态的重要因素之一.在公司治理与产业民主关系的处理上,我国应该利用自身的本土资源,对职工代表大会以及职工董事、职工监事制度进行合理化的改造.
