我国企业重整制度的改良与预先包裹式重整

我国现行的企业重整制度存在着诸多缺陷,主要表现在重整成本昂贵、缺乏效率、易于滥用等三个方面,因此,企业重整制度容易成为债务人拖延甚至拒绝偿债的工具。而非正式的企业重整制度即法院外协商机制,能在较短时间内以较低成本拯救陷于经营一时困顿的债务人企业,但"一致决"的重整决议方式缺乏可操作性,因而将严重影响企业复兴。我国应借鉴各国企业重整制度的成功经验,根据我国社会发展的实际情况,建立预先包裹式重整制度。

Policy of Business Reorganization in China and the Turnkey Solution

Many defects can be found in the policy of business reorganization in China,such as high cost,insufficiency and frequency of abuses.As such,it is readily to become a means employed by a debtor to delay or even refuse to pay his/her debt.While the informal reorganization program,i.e.,a negotiation outside the court,can rescue an enterprise from business trouble with relatively low cost in a short time,the "consensus way" lacks interoperability and thus may seriously hinder the survival of the business.China should,by reference of foreign experiences and based on her practical social conditions,adopt a turnkey solution of business reorganization.
