| 摘 要： | 民营企业治理结构创新是民营企业健康持续发展的关键,其目标是建立规范的公司治理结构。由于我国公司法制定的特定历史背景,公司法在一定程度上成为民营企业治理结构创新的法律障碍。我国公司法应适应民营企业的蓬勃发展,立足于公司是市场经济主体对公司治理结构制度予以完善。

| Abstract: | The innovation of the governance structure of the private - owned enterprises, which is a key factor in the development of private - owned enterprises, aims at establishing normative corporation governance structure. However, it is restricted by the company law due to the historic conditions in which the company kw was enacted. The perfection of the system of the corporation governance structure should be based on corporation' s characteristics of private law subject, and adapt to the development of booming private - owned enterprises. |
