公司治理结构的理论基石分析

公司治理结构问题自始至今都是令经济学家和法学家及实务界人士所共同关注的重要问题。完善有效的公司治理结构制度安排成了公司持续、健康、有效率运作的核心问题,也自然成为整个公司法律制度完善的关键性环节。本文认为公司所有权与控制权的分离必然导致经营者代理所有者经营管理公司的代理关系和代理问题的产生,因此必须通过设计一系列制度或合约来监督、制衡、激励、约束经营者,以控制经营者实现股东设立公司的目的和公司存在的社会目的。公司治理结构的核心内容和核心目标就是控制公司的经营者,实现公司制度的价值。
