| 摘 要： | 公司承包经营制度在实践中大量存在，由于公司承包经营制度违反了公司法的基本原理，严重损害债权人的利益，构成无权处分是违反法律的。但是，我们可以把公司承包经营合同看成财产租赁合同而承认承包经营合同的效力。

| Abstract: | The practice of contractual operation of companies exists greatly.Because contractual operation of companies violates the legal principle in the company law,harms the interests of the creditors severely,so it constitutes unauthorized disposition,disobeys the law.But we can hold that contractual operation of company is property leasing contract,thus recognising its validity. |
