| 摘 要： | 私募基金在我国发展迅速,其资本市场上也发挥着独特作用。但是,法律规制的缺位导致与此相关的问题颇多。我国在构建私募基金立法时应明确私募基金市场准入、组织形式、私募基金监管及当事人收益和风险分配等方面的内容。

| Abstract: | The privately offered fund develop quickly in our country the resent years,it also plays special roles in capital market.While the lack of legal regulation lead to more problems.The legislation on privately offered fund should identify the contents include the entry,organization form,supervision and the interests and risks allocation,and so on. |
