| 摘 要： | 在外资并购过程中存在侵害中小股东权益行为的根本原因在于外资实施跨国并购时的价值选择与国家法律保护目标企业中小股东合法权益的价值选择之间存在冲突,应通过完善＂信息披露制度、独立董事制度、股东诉讼制度＂的立法构建,实现在外资并购时对中小股东的保护。
