| 摘 要： | 一人公司的现有理论一致认为我国应该对一人公司以立法形式确认其合法地位 ,但是现有的学说均无法解决一人公司最基本的理论问题——一人公司的性质 ,因此笔者认为 ,我国不应该急于对一人公司立法 ,应该更加深入的探讨一人公司性质背后的法人制度理论的变革 ,理论准备成熟之后再立法。

| Abstract: | In the law area, theories about one person company have a common opinion that Company Law of China should establish some provisions to give a fixed definition of the legal position of one man company. However, none of them can solve an essential theoretical problem -- the character of this kind of company. Concerning about this status qou, the article suggest that China should not establish such provision hastly, what should be done firstly is having a further discuss on the change about the jurisdical person system and then can start out to have a legislation. |
