论我国上市公司独立董事制度

独立董事制度作为完善上市公司治理结构的一项重要措施,前几年被引入了我国,许多上市公司纷纷聘请了独立董事,但从聘请独立董事的上市公司的实践看,效果并不理想。在我国证券市场发育时间较短,大部分上市公司由于制度性原因而造成的法人治理结构不完善的情况下,独立董事制度在我国的定位和作用能否实现以及如何实现,是需理论界和实务界认真探讨的一个问题。

On the Independent Trustee System for the Company Coming into Stock Market

As an important measure perfecting the managing measure for the publicly listed corporations,the independent trustee system was introduced into China a few years ago.Many a company retain independent trustees,but the practice was not satisfying.With the situations that the stock market has developed for a short time and that most publicly listed corporations have been poor in term of artifical person management because of systematic reasons,the problem that wheather and how the part and function of independent trustee system can be realized should be studied by both theratical and business field.
