BOT项目协议的法律性质

BOT是一种新型的私人直接投资方式。BOT项目协议是东道国政府与项目公司之间关于项目开发、运营和移交各阶段彼此权利义务关系的协议。BOT项目协议的法律性质,是解决其法律适用问题的前提,直接决定着BOT项目中各方当事人的法律角色。本文认为BOT项目协议不是所谓的国家契约,而是国内法契约,并在比较BOT项目协议与行政合同的基础上,提出BOT项目协议是类似与政府采购合同的特殊的民事合同。

BOT is a new kind of private invest.BOT project agreement is one of relation between right and duty of each other on diffevent stages about project enttrprising,running and transformation between the host government and the project company.The legal nature of BOT project agreement is the premize of solving the problem about legal availability.It decides directly the legal roles of the parties of BOT project.The author thinks that the BOT project agreement is not so-call state contract,but national lgealcontract.Comparing BOT project agreement with administrative contract,the author puts forward that BOT project agreement is similar to the special civil contract like government purchasing contract.
