| 摘 要： | 考察有限责任股东劳务出资的三种域外立法 ,只有最宽松的劳务出资立法例 ,才迎合了股东出资形式多元化的发展趋势 ,但在准允劳务出资时 ,不可忽视保障债务清偿、资本真实的配套措施的完备。若法律对劳务出资持支持态度 ,可以给予“干股”一个可行的解释 ,并能够有效解决在职工持股、股票期权推行中所面临的困境和尴尬

| Abstract: | Reviewing three overseas legislation examples of contribution in the form of labor services by shareholders of limited liability, only the loosest legislation cater for the trend of multiple forms of shareholders' contributions. When labor services contribution is allowed, consummating the correlation measures cannot be ignored, in order to guarantee debt discharge and capital reality. When the Company Law would give its support to contribution in the form of labor services, it would then not only provide an explanation to net share, but will also solve the difficulties and awkward problems in the process of practicing schemes employee's share and option share. |
