| 摘 要： | 土地使用权投资既是一个公司法问题，也是一个不动产法问题。中国的土地使用权种类繁多、性质多样，给现实操作带来许多问题，本文首先界定可出资的建设用地使用权种类，同时也介绍了出资的程序要件。在此基础上，本文讨论中国土地使用权出资的特殊问题，即合资企业的土地使用权出资、国有企业改制中国有土地使用权出资、划拨土地使用权出资、农村土地使用权出资等问题：通过这些探讨，笔者试图向人们提供较为清晰的实务操作指引。

| Abstract: | The investment with land-use right is regulated by company law as well as property law. There are various kinds of land-use right in China, which puzzles businessmen or practitioner so much. This paper identifies all kinds of land-use right that are available for invest in business legally, and then analyze the procedure requirement for investment in business. Based on former discussions, numbers of special legal issues are discussed further, e.g. investment with land-use right in the enterprises invested by foreigners; investment with land-use right granted by government; investment with land-use right in countryside. With these discussions, the author tries to provide a clear practical guidance to businesses. |
