| 摘 要： | 对于证券内幕交易进行规制，主要的手段是刑事处罚，行政和民事也必须同步跟进，形成一个完整的有梯度的处罚体系。美国在这方面积累了有益的经验，将其与中国进行比较研究，从而提出改进建议，有利于抑制内幕交易的发生。

| Abstract: | The author was talking about the regulation of the stock transaction inside story ot the USA laws, and setting forth the regulation of the stock transaction inside story of the China laws. Both the USA and the China, there are same punishment system, including criminal punishment, administrative punishment and civil punishment, but the USA＇s practice was advantage of the China＇s practice. |
