论公司法修订的指导思想

现行公司法具有时代局限性,既没有体现出世界公司立法的发展趋势,又无法满足客观现实的需要,其全面修订已势在必行。在修订过程中,我们应坚持下列指导思想:确立修改公司法的多元理论进路;《公司法》的稳定性与开放性兼顾;公司立法与国有企业改革立法宜分别进行;实现外商投资企业立法与公司立法的并轨;合理把握好公司法的规范结构等等。

Discussion on the guidelines of revision of company law

The present company law has era limitation. It neither embodies the developing trend of company law legislation in the world, nor does it satisfy the need in reality. So the comprehensive revision is imperative under the situation. During the revision procedure, we should stick to the following guidelines: erecting the Pluralistic theory on revision of company law, considering the stability and opening of company law simultaneously, processing separately the company law legislation and the reform legislation of SOEs, realizing the combination of foreign-investment enterprises legislation and company law legislation, assuring the logical clause structure, etc.
