| 摘 要： | 现代公司具有所有权与经营权相分离的特点,公司股东不参与公司的管理导致其对公司信息的获取困难.股东知情权是股东行使其他股东权利的前提,如何对股东知情权进行保护,如何解决股东知情权制度中的冲突,如何找到一个平衡点使得股东利益最大化而又不影响公司的正常经营,是值得认真思考的命题.
