| 摘 要： | 关于股权的性质，学界众说纷纭。文章从不同的角度对股权性质进行了分析，认为股权不能简单地归类于传统民法的所有权或债权，它是衍化于财产所有权，并与财产所有权、债权相并存的一种特殊的权利。通过揭示股权的性质，让股权真正成为一种新型的民事权利，从而为股权的正确行使和全面推进法人治理现代化企业制度建设提供理论支撑。
