| 摘 要： | 以技术出资,倍受人们关注。基于技术本身的特性,技术资本化有其特殊风险。从立法上规制技术出资,刻不容缓。本文拟从技术出资的条件和程序、技术出资人的权利和义务、技术出资瑕疵及其法律责任等方面对技术出资问题进行研究。

| Abstract: | Science and technology is the first force of productivity. Technology as a means of contribution has been closely paid attention to. The capitalization of tech has its special risks due to the features of its own. Therefore, it is urgent to regulate the tech contribution. This paper has made an approach on the conditions and procedures of the tech contribution, the rights and obligations of tech contributors, the defects of tech contributions and its liability. |
