| 摘 要： | 本文立足公司治理结构的历史发展与现实意义,在考察我国目前公司治理结构存在现实不足与制度缺陷的基础上,从公司法修改的视角出发,对我国上市公司治理结构的完善与健全作了论述.文章指出在目前资本市场不甚发达的情况下,通过立法修改实现对公司治理结构的法律规制较为可行,也较为客观.

| Abstract: | In view of historical development and practical significance, based upon the investigation of the existing weaknesses and system flaws in corporate governance in our country, this article probes ways to improve and perfect governance structure for listed companies from the perspective of the revision of the company law, and points out that it is feasible and objective for China to make law revision to realize law ruling on corporate governance structure since the present capital market is not so well developed . |
